In connection with the planned listing, Mendole has today published its Information Memorandum. The listing is intended to support the Company’s growth strategy, which includes organic growth and acquisitions within the building services sector.

Mendole has secured pre-subscriptions from new investors corresponding to 50 percent of the public offering of new shares in conjunction with the listing (“the Offering”).

●        New issue amount: DKK 4 million

●        Pre-subscription (%): DKK 2 million (50%)

●        Pre-money valuation: DKK 38,796,712 (~DKK 39 million)

●        Subscription period: 8 - 22 October, 2025

●        Expected first day of trading: 29 October, 2025

Use of proceeds

The proceeds from the Offering will primarily be used to strengthen Mendole’s financial position and support the Company’s acquisition-driven growth strategy, including potential near-term transactions in line with Mendole’s business plan.
 

Financial outlook 2025

For the full year 2025, Mendole expects:

• Revenue: DKK 120 - 140 million
• EBITDA (excl. one-off costs): DKK 6.5 - 8.5 million
• EBITDA (incl. one-off costs): DKK 4.5 - 6.5 million

This guidance reflects management’s expectations based on signed projects and the Group’s current pipeline.

Additionally, the Company will join a presentation and Q&A session on “Unge Investorers” channels, which is expected to be published on October 15.
