Windon Energy has completed the previously announced acquisition of a solar park portfolio of 22.19 megawatts. The company thus owns, directly and indirectly, 100 percent of the 22 project companies that control the facilities. The total purchase price amounts to approximately SEK 151.1 million and was paid through a non-cash issue of approximately 151.1 million shares at a subscription price of SEK 1 per share. No cash payment has been made.In connection with the transaction, Windon has also carried out a directed offset issue of SEK 3 million and decided on an issue of warrants of series TO 2 that will be distributed to existing shareholders. The company further states that a convertible loan of SEK 3 million will be paid out no later than July 3. Windon refers to the deal as a step toward more stable revenues from electricity production."We are now strengthening Windon's earnings with a portfolio of owned producing assets. This fundamentally changes the company's character, from project-dependent revenues to a more stable base of electricity production and lays the foundation for our continued growth", says Christoffer Johansson, CEO of Windon Energy, in a comment.
