The investment company C100’s board unanimously recommends that shareholders not accept Hunter Capital’s mandatory cash offer for the company. This is stated in a press release.The offer amounts to SEK 4.19 per share, corresponding to a premium of approximately 0.06 percent compared with the volume-weighted average price during the 20 trading days preceding the emergence of the mandatory offer obligation. Compared with the closing price on the day before the offer document was announced, the premium is approximately 1.21 percent.The board believes that the offer does not sufficiently reflect C100’s assets, financial flexibility and long-term potential. It refers, among other things, to the company’s intellectual property and project portfolio, as well as opportunities for future licensing, partnerships and divestments. A fairness opinion from Ardenne also assesses that the offer is not financially fair to the shareholders."Against the above background, the C100 board unanimously recommends that C100’s shareholders not accept the offer," it states.
